Memorandum of Understanding (MoU)

Between
INTERNATIONAL BRAHMIN FEDERATION (IBF GLOBAL)
and
[Name of Local Chapter]

1. Preamble

This Memorandum of Understanding (MoU) is entered into on this [Date], between:

A. INTERNATIONAL BRAHMIN FEDERATION (IBF GLOBAL), a global non-profit federation registered and headquartered at Jaipur, India (hereinafter referred to as “IBF Global”), represented by its Founder & Global President Dr. Naveen Kumar Sharma,

AND

B. [Name of Local Chapter], a non-profit association registered under the laws of [Country/State Name], with its registered address at [Address], represented by [Name, Title], hereinafter referred to as the “Chapter”.

IBF Global and the Chapter are collectively referred to as the “Parties” and individually as a “Party.”

2. Purpose

The purpose of this MoU is to define the relationship, responsibilities, and mutual obligations between IBF Global and its Chapter under the Federation Governance Framework of the International Brahmin Federation.

This MoU establishes that:

  • IBF Global is the central coordinating and policy-making body;
  • The Chapter is a locally registered, semi-independent entity operating under IBF’s global constitution, values, and guidelines;
  • Both Parties will collaborate to advance the mission of global Brahmin unity, education, entrepreneurship, and social empowerment.

3. Scope of Relationship

3.1 IBF Global Responsibilities

IBF Global shall:

  • Provide global leadership, policy frameworks, and strategic direction.
  • Approve the establishment and naming of the Chapter.
  • Grant the right to use IBF’s name, logo, and branding under license.
  • Coordinate global initiatives, events, and partnerships.
  • Facilitate representation of the Chapter in the Global Executive Council (GEC).
  • Support training, resources, and inter-chapter collaboration.
  • Conduct periodic reviews and ensure alignment with IBF’s global constitution and ethics.
  • Manage and control global entities including:
    • Brahmin Business Network (BBN)
    • Vipra Innovation Fund (VIF)

3.2 Chapter Responsibilities

The Chapter shall:

  • Be registered under local laws as a non-profit organization aligned with IBF’s objectives.
  • Adopt IBF’s global constitution, code of ethics, and policies.
  • Plan and execute local events, programs, and initiatives consistent with IBF’s mission.
  • Manage local membership drives and maintain updated records.
  • Conduct local fundraising, partnerships, and sponsorships ethically.
  • Nominate one representative to the IBF Global Executive Council.
  • Submit an annual activity and financial report to IBF Global Secretariat.
  • Ensure all communications and public representations align with IBF Global standards.
  • Follow the Protocol for Inter-Chapter Visits and Coordination as defined by IBF.

4. Autonomy and Accountability

  • The Chapter operates as an independent legal entity responsible for its own finances, compliance, and local legal obligations.
  • The Chapter shall not act contrary to the policies, values, or reputation of IBF Global.
  • All public statements, partnerships, or sponsorships using the IBF name require prior written approval from IBF Global if international in nature.
  • IBF Global reserves the right to audit, review, or revoke affiliation in case of misconduct, misrepresentation, or inactivity.

5. Financial Understanding

  • The Chapter may raise funds locally for its programs, events, and administrative needs.
  • Global fundraising campaigns, sponsorships, or international donors shall be managed by IBF Global.
  • Both Parties agree to maintain financial transparency, ethical fundraising practices, and proper utilization of funds for community benefit.

6. Brand and Intellectual Property

  • The IBF name, logo, emblem, and visual identity remain the exclusive property of IBF Global.
  • The Chapter is granted a non-exclusive, revocable license to use the IBF brand for approved activities only.
  • The Chapter must include “International Brahmin Federation – [Country/State] Chapter” in its official name and communications.
  • Any modification, misuse, or unauthorized use of IBF’s brand shall lead to termination of this MoU.

7. Brahmin Business Network (BBN) & Vipra Innovation Fund (VIF)

  • The Chapter shall establish local BBN and VIF cells as part of IBF’s unified global structure.
  • These units shall coordinate with the Global BBN Directorate and Global VIF Board for all programs, investments, and member activities.
  • Local BBN/VIF initiatives must follow global guidelines on partnership, funding, and brand usage.

8. Protocol for Visits and Collaboration

  • When the Chapter Head or any senior representative visits another IBF Chapter’s territory, advance intimation and coordination with the host Chapter and IBF Global are required.
  • Chapters may jointly organize programs with prior consent from IBF Global.
  • All chapters will collaborate on global summits, festivals, awards, and forums hosted under the IBF umbrella.

9. Term, Renewal, and Termination

  • This MoU is valid for a period of three (3) years from the date of signing and is renewable upon mutual consent.
  • Either Party may terminate this MoU by providing 90 days’ written notice.
  • IBF Global reserves the right to terminate immediately in case of:
    • Breach of brand policy, ethics, or constitution;
    • Involvement in unlawful or defamatory activities;
    • Misuse of funds or misrepresentation of IBF.
  • Upon termination, the Chapter shall cease using the IBF name, logo, and materials within 30 days.

10. Confidentiality & Non-Competition

  • Both Parties shall maintain confidentiality of internal communications, donor data, and strategic documents.
  • The Chapter or its members shall not form or associate with another organization using similar name, logo, or identity representing Brahmin Federation or its subsidiaries.

11. Dispute Resolution

  • Any dispute arising from this MoU shall first be addressed through amicable discussion between the Chapter and IBF Global.
  • If unresolved, the matter shall be referred to the Global Advisory & Ethics Council, whose decision shall be final.
  • Legal jurisdiction, if required, shall be Jaipur, India.

12. General Provisions

  • This MoU does not constitute a partnership or joint venture for profit.
  • Amendments must be made in writing and approved by both Parties.
  • Each Party shall bear its own costs incurred under this MoU.
  • Communications may be sent electronically and will hold equal validity as physical documents.
